Agreement to Terms

By accessing or using the services provided by Equibre ("Company," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access our services.

Services Description

Equibre provides custom software design and development, web development, and related technology services. The specific scope of services will be outlined in individual project agreements or statements of work.

Intellectual Property Rights

Our Intellectual Property

The services, including all content, features, and functionality, are owned by Equibre and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

Client Intellectual Property

Upon full payment for services rendered, clients will receive the intellectual property rights to the custom work product created specifically for them, as outlined in the project agreement. We retain the right to use general knowledge, skills, and experience gained during projects.

User Obligations

You agree to:

• Provide accurate and complete information when engaging our services
• Maintain the confidentiality of any account credentials
• Notify us immediately of any unauthorized use of your account
• Use our services only for lawful purposes
• Not interfere with or disrupt our services or servers
• Not attempt to gain unauthorized access to our systems
• Comply with all applicable local, state, national, and international laws

Payment Terms

Payment terms will be specified in individual project agreements. Unless otherwise stated:

• Invoices are due within 30 days of issuance
• Late payments may incur additional fees
• We reserve the right to suspend services for non-payment
• All prices are in USD unless otherwise specified
• Clients are responsible for any applicable taxes

Project Timeline and Delivery

Project timelines are estimates and may be subject to change based on project complexity, client feedback cycles, and scope changes. We will make reasonable efforts to meet agreed-upon deadlines and will communicate any potential delays promptly.

Confidentiality

We understand that during our engagement, we may have access to confidential information. We agree to maintain the confidentiality of such information and use it only for the purpose of providing our services. This obligation survives the termination of our agreement.

Warranties and Disclaimers

We warrant that we will perform our services with reasonable skill and care. However:

• Our services are provided "as is" without warranties of any kind
• We do not guarantee that our services will be uninterrupted or error-free
• We are not responsible for third-party services or content
• We do not warrant that defects will be corrected outside of agreed support periods

Limitation of Liability

To the maximum extent permitted by law, Equibre shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues. Our total liability shall not exceed the amount paid by the client for the specific services giving rise to the claim.

Termination

Either party may terminate the agreement with written notice as specified in the project agreement. Upon termination:

• Client must pay for all work completed up to the termination date
• We will deliver all completed work products
• Both parties will return or destroy confidential information
• Provisions that by their nature should survive will remain in effect

Indemnification

You agree to indemnify and hold harmless Equibre and its employees, contractors, and agents from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of any material changes by posting the new Terms on our website. Your continued use of our services after such changes constitutes acceptance of the new Terms.
